ARTICLE 1\u00a0\u2013<\/b>\u00a0DEFINITIONS<\/strong>
\nIn these General Terms and Conditions, the following definitions shall apply:
\nOffer:<\/strong> any offer of goods by HEATSAIL to a buyer on a fair, in a catalogue, in leaflets or otherwise.
\nGeneral Terms and Conditions:<\/strong> the present General Terms and Conditions, as applicable on any offer from HEATSAIL.
\nBuyer:<\/strong> any legal entity or professional who, for professional purposes only, acquires or uses goods marketed by HEATSAIL.
\nGoods:<\/strong> any and all material goods that are the subject of an agreement, as well as any and all material results of the provision of services by HEATSAIL.
\nForce majeure:<\/strong> a situation in which a shortcoming cannot be imputed to HEATSAIL or to the buyer, since neither of them can be held responsible for the shortcoming nor can they be held accountable for it by virtue of law, legal act or generally accepted practice.
\nAgreement:<\/strong> any agreement regarding the sale of goods between a buyer and HEATSAIL.
\nPrice:<\/strong> the price of a good offered, as set out in Article 5 of the General Terms and Conditions.
\nSale:<\/strong> a system organized by HEATSAIL for selling goods and\/or services to buyers.<\/p>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t\t\t

ARTICLE 2 \u2013 SCOPE
\n<\/span>1. In these General Terms and Conditions, \u201cHEATSAIL\u201d refers to HEATSAIL NV, with registered office at Prins Boudewijnlaan 7A08, 2550 Kontich, Belgium, company number 0845.705.287.
\n2. These General Terms and Conditions shall assume precedence over any terms and conditions of the buyer or of any third party.
\n3. The General Terms and Conditions shall apply to each Agreement and\/or quote between HEATSAIL and the buyer and shall form an inseparable part thereof. The General Terms and Conditions can be consulted on the reverse side of each quote or invoice as well as on HEATSAIL\u2019s website, and they can be obtained upon simple request.<\/p>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t\t\t

ARTICLE 3\u00a0\u2013CONCLUSION OF THE AGREEMENT<\/span>
\n1.\u00a0An Agreement is concluded when the Offer is accepted by the buyer\u00a0and the conditions set out therein are met. (see also article 4)
\n<\/span>2. HEATSAIL has the right to refuse an order or request or to attach special conditions to the delivery, if it has sound reason to believe that the buyer may not fulfil his obligations. This reason may be a recent bad customer experience of HEATSAIL with the buyer, or it may be that the buyer does not meet the conditions as set out in these General Terms and Conditions or in the Offer.<\/span><\/p>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t\t\t

ARTICLE 4 \u2013 QUOTES<\/span>
\n1. Unless expressly stated otherwise, HEATSAIL\u2019s quotes are valid for a maximum period of 1 month. Quotes are always drawn up on the basis of data provided by the buyer, and may be subject to change.
\n2. The buyer shall be bound by each order placed, yet HEATSAIL shall only be bound after an explicit, written confirmation of the order by HEATSAIL or by an authorized representative of HEATSAIL. If prior to the acceptance of a quote, there is any change or reservation with regard to the quote offered by HEATSAIL, an agreement shall only be concluded if HEATSAIL expressly agrees to that change or reservation.
\n3. If an order is cancelled, the buyer shall owe HEATSAIL flat rate, conventional damages of 30% of the amount of the order\/quote, with a minimum sum of 250.00 euros.
\n4. HEATSAIL\u2019s General Terms and Conditions as well as the instructions for use\/user\u2019s manual as provided by HEATSAIL and meant for the specific products manufactured and provided by the same, such as DOME, form an inseparable part of the Agreement and therefore of the General Terms and Conditions.
\n5. By signing the Agreement, the buyer confirms that he has read both (i.e. the General Terms and Conditions and the instructions for use\/user\u2019s manual), that he accepts them and agrees to them.<\/p>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t\t\t

ARTICLE 5 \u2013 PRICE<\/span>
\n1. The Price shall be stated in the quote in a written and unmistakable manner and shall be given in euros.
\n2. Unless stated otherwise, the price shall include VAT. Any contingent printing errors or misprints, any changes in the price due to changes of VAT rates and\/or other legal levies shall also be taken into account.
\n3. HEATSAIL shall not increase the price between the time of conclusion of the Agreement and the delivery, unless:
\nA) the price increase is a result of legal regulations or of changes in prices imposed by the manufacturer; or
\nB) the buyer wants changes to be made in the Agreement after the conclusion thereof; or
\nC) a manifest error was identified.
\n4. Prices as stated in the quote by HEATSAIL do not include the costs of transport and delivery.<\/p>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t\t\t

ARTICLE 6 \u2013 DELIVERY<\/span>
\n1. All delivery dates and periods are stated in good faith. A failure to meet the set delivery time does by no means make HEATSAIL liable, and neither shall it give cause for the payment of damages or interests or for a refusal to accept the Goods. Nor shall it constitute grounds for a termination of the Agreement.
\n2. The delivery shall take place at the buyer\u2019s expense and risk.<\/p>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t\t\t

ARTICLE 7 \u2013 CONFORMITY<\/strong>
\n1. HEATSAIL shall assure that the goods have all the features as are required for normal use and under all circumstances (i.e. that they are sound and in proper working order), as well as for particular use, in so far as agreed upon and in accordance with the instructions for use\/user\u2019s manual which form an inseparable part of the Agreement. HEATSAIL shall not be bound by any public statements made regarding any special features of the Goods, if HEATSAIL can prove that the said statement was not known or could not reasonably be known, that the statement had been corrected before the conclusion of the Agreement or that the decision of purchase of the Goods could not have been influenced by that statement.
\n2. The buyer is responsible for the accuracy of any data provided by him, and he shall check these data on the order form.
\n3. In the event of any visible defect, the buyer shall inform HEATSAIL hereof within 8 days from delivery, in writing, by registered mail. Failing this, the complaint is inadmissible. (see also article 9)
\n4. If the delivered product has any hidden defect, the buyer shall inform HEATSAIL hereof by registered mail within 5 days after the hidden defect was revealed or such revelation could have reasonably taken place. Failing this, the complaint is inadmissible. (see also article 9)<\/p>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t\t\t

ARTICLE 8 \u2013 FORCE MAJEURE<\/span>
\n1. A party cannot be held liable for non-fulfilment of its obligations, if it can prove that:
\n– The non-fulfilment was attributable to an obstacle beyond its control, and
\n– That at the moment of conclusion of the Agreement, it could not be reasonably expected of them to take into account such obstacle or its consequences on their ability to fulfil their obligations, and
\n– That the party could not have reasonably prevented or removed the obstacle.
\n2. As soon as a party becomes aware of such an obstacle, it shall inform the other party hereof without delay. The other party shall likewise be informed if the ground for the release of the obligations ceases to exist. Failing such notification, the defaulting party shall be liable for compensation of any damage that could have otherwise been precluded. (see also article 13)
\n3. Any ground for release under this article shall discharge the defaulting party of the liability for damages, fines and other contractual sanctions, with the exception of the obligation to pay interest on the amounts due for as long as and insofar as such ground remains.
\n4. If the grounds for release of liability persist for more than 6 months, either party has the right to terminate the agreement by means of notice. (see also article 13)<\/p>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t\t\t

ARTICLE 9 \u2013 WARRANTY<\/span>
\n1. HEATSAIL acts as a producer\/seller only, not as an installer or advisor. Hence HEATSAIL can never be held liable by the buyer or any other subsequent customer for any shortcoming resulting from the installation of the product or the place of installation of the product, since HEATSAIL does not at all contribute to the same. HEATSAIL refers to the detailed instructions for use\/user\u2019s manuals of its products, which form an inseparable part of each sales agreement and which are signed as \u2018read and approved\u2019 by the buyer. HEATSAIL also presumes the expertise of the buyer and the product know-how of the buyer\u2019s installer and\/or adviser, irrespective of any opinions of HEATSAIL\u2019s representatives\/appointees or of HEATSAIL itself, and irrespective of any question posed to HEATSAIL\u2019s representatives\/appointees or to HEATSAIL itself. The buyer is obliged to check the local regulations regarding conditions for installation and applicability of the products and to comply with such. HEATSAIL can by no means be held responsible or liable for the same.
\n2. The buyer explicitly undertakes to inform any subsequent customer of the content of art. 9.1 and to assert the same to any subsequent customer transferring this commitment. The buyer hence undertakes to act as a voluntary third-party intervener to indemnify HEATSAIL against all liability ensuing from any shortcoming in the installation of the product or from noncompliance with the local legal requirement regarding the installation, the use or the conditions for application.
\n3. The warranty depends on the type of product and shall be stated in the relevant quote.
\n4. HEATSAIL provides the buyer with a manufacturer\u2019s warranty for each lack of conformity existing at the moment of delivery of the Goods. This means that in the event of any flaws or defects of the good under normal use, up to 1 year from delivery, HEATSAIL shall repair or replace the good free of charge. Components and working hours are free of charge. In the event that HEATSAIL needs to intervene on site, call-out, travel and overnight expenses may be charged as the warranty does not cover these costs.<\/span> Any defects or damage as a result of incorrect use, water, oxidation, drops or impacts, negligence, improper maintenance or use contrary to the manufacturer\u2019s instructions or the user\u2019s manual as provided by HEATSAIL, as well as wear and tear, are not covered by the warranty.
\n5. HEATSAIL\u2019s liability towards the buyer is therefore expressly limited to its warranty obligation. Any claim on account of loss of profits
\nand\/or any other form of indirect and\/or other types of consequential damage is excluded from the warranty. (see also article 8.1)
\n6. The buyer shall inform HEATSAIL of the lack of conformity of the Goods, in writing and by registered mail, at the latest within 15 days
\nafter having identified the lack of conformity. After this period, HEATSAIL shall no longer answer for such defects. The period is shortened to 48 hours in the event of visible defects. (see also art. 7.3 and 7.4)
\n7. The warranty shall not apply if the goods were modified or revised by third parties without prior written consent of HEATSAIL.<\/p>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t\t\t

ARTICLE 10 \u2013 PAYMENT<\/span>
\n1. HEATSAIL\u2019s invoices and\/or claims are to be paid at its registered office in 2550 Kontich, Belgium, Prins Boudewijnlaan 7A08. Payments shall be made punctually and in accordance with the terms of payment in the Agreement and the relevant invoices.
\n2. Failing payment of invoices or advances by the due date, a late payment interest shall be due by operation of law and without notice of default, at a rate of 12% p.a. as from the due date, and HEATSAIL shall have the right to claim conventional, flat rate damages of 10% of the total due sum, with a minimum amount of 300.00 euros.
\n3. HEATSAIL shall likewise have the right to suspend its further contractual performance, or to dissolve the agreement to the detriment of the buyer. In such an event, the buyer cannot lay claim to any damages. Any payments already executed shall not be returned.
\n4. If it is established that the buyer is insolvent and\/or that the financial situation of the customer involves payment risks, HEATSAIL may dissolve the agreement to the customer’s detriment or may suspend its performance, unless the party involved can provide sufficient guarantees for the fulfilment of its obligations.
\n5. The buyer is obliged, without delay and at the latest within 8 days, to inform HEATSAIL of any inaccuracies in data provided or data stated anywhere relating to the Agreement.<\/p>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t\t\t

ARTICLE 11 \u2013 RETENTION OF TITLE AND TRANSFER OF RISK<\/strong>
\n1. HEATSAIL shall retain the title of the Goods delivered to the buyer until the latter has paid in full, without affecting the buyer\u2019s rights pertaining to him by operation of law. The ownership of the purchased goods is transferred to the buyer only after he has paid the purchase price to HEATSAIL in full. Prior to the transfer of title, the buyer does not have the right to dispose of the Goods or to sell, convert, transfer or encumber them.
\n2. The parties agree that the Goods can only become immovable by designated purpose or incorporation after a full and correct payment by the buyer.
\n3. The risk of damage, destruction or disappearance of the Goods is transferred onto the buyer at the moment of delivery of the Goods. If the buyer refuses to immediately accept undamaged goods delivered to him in a correct manner, any ensuing costs shall be borne by the buyer.<\/p>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t\t\t

ARTICLE 12 \u2013 CONTRACTUAL DEFAULT AND EXPLICIT RESOLUTIVE\u00a0<\/span>CONDITION<\/span>
\n1. In the event of contractual default, bankruptcy or (the application for) judicial reorganization of the buyer, HEATSAIL shall have the right to terminate the agreement without prior notice of default and without judicial intervention, or to suspend the fulfilment of its obligations, without owing any damages.<\/p>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t\t\t

ARTICLE 13 \u2013 DAMAGES FOR NON-COMPLIANCE WITH THE\u00a0<\/span>AGREEMENT<\/span>
\n1. In each event of dissolution or termination of the agreement \u2013 in full or in part \u2013 based on the fault of either of the parties, damages of 30% of the agreed upon price shall be due automatically, by operation of law and without a reminder or notice of default being required.
\n2. In accordance with art. 1149 of the Belgian Civil Code, HEATSAIL reserves the right to claim additional compensation yet to be
\ndetermined for the damage incurred, if such exceeds the above mentioned 30%.<\/p>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t
\n\t\t\t\t\t\t\t

ARTICLE 1 \u2013 D\u00c9FINITIONS<\/strong>
\nDans les pr\u00e9sentes Conditions G\u00e9n\u00e9rales on entend par:
\n<\/span>Offre: toute offre de biens faite par HEATSAIL \u00e0 l\u2019Acheteur \u00e0 une bourse, dans des catalogues, des brochures ou autrement.
\n<\/span>Conditions g\u00e9n\u00e9rales: les pr\u00e9sentes conditions g\u00e9n\u00e9rales, telles qu\u2019applicables \u00e0 toute offre d\u2019HEATSAIL.
\n<\/span>Acheteur: toute personne morale, professionnel, qui \u2013 exclusivement \u00e0 des fins professionnelles \u2013 acquiert ou utilise les produits commercialis\u00e9s par HEATSAIL.
\n<\/span>Biens: tous biens corporels faisant l\u2019objet d\u2019une convention ainsi que tous r\u00e9sultats corporels de la prestation de services par HEATSAIL.
\n<\/span>Force majeure: une situation dans le cadre de laquelle un manquement ne peut pas \u00eatre imput\u00e9 \u00e0 HEATSAIL, ni \u00e0 l\u2019Acheteur, \u00e9tant donn\u00e9 que le manquement n\u2019est pas d\u00fb \u00e0 leur faute, ni en vertu de la loi, d\u2019un acte juridique ou de concepts en vigueur.
\n<\/span>Convention: toute convention relative \u00e0 la vente de Biens conclue entre l\u2019Acheteur et HEATSAIL.
\n<\/span>Prix: le prix du Bien offert, tel que d\u00e9crit \u00e0 l\u2019Article 5 des Conditions g\u00e9n\u00e9rales.
\n<\/span>Vente: un syst\u00e8me organis\u00e9 par HEATSAIL pour la vente \u00e0 des Acheteurs
\nARTICLE 2 \u2013 CHAMP D\u2019APPLICATION
\n<\/b>1. Dans les pr\u00e9sentes Conditions g\u00e9n\u00e9rales on entend par <\/span>\u00ab HEATSAIL \u00bb : HEATSAIL NV, dont le si\u00e8ge social est \u00e9tabli \u00e0 <\/span>2550 Kontich, Belgique, Prins Boudewijnlaan 7A08, et enregistr\u00e9e \u00e0 la Banque-Carrefour des Entreprises (B.C.E.) sous le num\u00e9ro 0845.705.287.
\n<\/span>2. Les pr\u00e9sentes Conditions g\u00e9n\u00e9rales pr\u00e9valent sur les conditions de l\u2019Acheteur ou d\u2019un quelconque tiers.
\n<\/span>3. Les pr\u00e9sentes Conditions g\u00e9n\u00e9rales sont applicables \u00e0 toute convention conclue et\/ou \u00e0 tout devis transmis entre l\u2019Acheteur et HEATSAIL et en font partie int\u00e9grante.
\n<\/span>4. Les pr\u00e9sentes Conditions g\u00e9n\u00e9rales peuvent \u00eatre consult\u00e9es au verso de tout devis ou de toute facture ainsi que sur le site web d\u2019HEATSAIL et peuvent \u00eatre obtenues \u00e0 la premi\u00e8re demande.
\n<\/span>ARTICLE 3 \u2013 CONCLUSION DE LA CONVENTION
\n<\/b>1. La Convention est conclue au moment de l\u2019acceptation de l\u2019offre par l\u2019Acheteur et de l\u2019accomplissement des conditions applicables dans ce cadre (cf. infra Article 4).
\n<\/span>2. HEATSAIL a le droit de refuser une commande ou demande ou de lier des conditions particuli\u00e8res \u00e0 la livraison, si elle a un motif raisonnable de suspecter que l\u2019Acheteur ne pourra pas satisfaire \u00e0 ses obligations. Ce motif peut concerner une r\u00e9cente exp\u00e9rience n\u00e9gative d\u2019HEATSAIL avec l\u2019Acheteur ou le fait que l\u2019Acheteur ne satisfait pas aux conditions telles que formul\u00e9es dans les pr\u00e9sentes Conditions g\u00e9n\u00e9rales ou l\u2019Offre.
\n<\/span>ARTICLE 4 \u2013 LES DEVIS
\n<\/b>1. Sauf disposition contraire expresse, les devis d\u2019HEATSAIL sont uniquement valables pendant une p\u00e9riode maximum d\u2019un (1) mois. Les devis sont toujours \u00e9tablis sur la base des donn\u00e9es fournies par l\u2019Acheteur et sont susceptibles de modifications.
\n<\/span>2. Toute commande plac\u00e9e par l\u2019Acheteur lie l\u2019Acheteur. Cependant, HEATSAIL sera uniquement li\u00e9e apr\u00e8s que la commande ait \u00e9t\u00e9 express\u00e9ment confirm\u00e9e par HEATSAIL ou par un repr\u00e9sentant mandat\u00e9 par HEATSAIL. Si l\u2019acceptation d\u2019un devis implique une modification ou r\u00e9serve quelconque vis-\u00e0-vis du devis \u00e9mis par HEATSAIL, la convention sera uniquement conclue si HEATSAIL s\u2019est express\u00e9ment d\u00e9clar\u00e9e d\u2019accord sur la modification ou la r\u00e9serve concern\u00e9e.
\n<\/span>3. En cas d\u2019annulation de la commande, l\u2019Acheteur sera redevable \u00e0 HEATSAIL d\u2019une indemnisation forfaitaire conventionnelle \u00e0 concurrence de 30% du montant de la commande ou du devis avec un minimum de 250,00 EUR.
\n<\/span>4. Les Conditions g\u00e9n\u00e9rales d\u2019HEATSAIL ainsi que les prescriptions et le manuel d\u2019utilisation tels que transmis par HEATSAIL pour les produits sp\u00e9cifiques qu\u2019elle fabrique et livre, comme notamment DOME, font partie int\u00e9grante de la convention de vente et, de ce fait, des pr\u00e9sentes Conditions g\u00e9n\u00e9rales.
\n<\/span>5. Par la signature de la convention de vente, l\u2019Acheteur reconna\u00eet avoir lu et accept\u00e9 pour accord ces deux documents (\u00e0 savoir les Conditions g\u00e9n\u00e9rales ainsi que les prescriptions et le manuel d\u2019utilisation).
\n<\/span>ARTICLE 5 \u2013 LE PRIX
\n<\/b>1. Le Prix sera mentionn\u00e9 de mani\u00e8re non \u00e9quivoque et par \u00e9crit dans chaque devis et exprim\u00e9 en EUROS.
\n<\/span>2. Sauf disposition contraire, le Prix comprend la TVA. Des erreurs d\u2019impression ou typographiques et des modifications de prix suite \u00e0 des changements dans les tarifs de la TVA et\/ou d\u2019autres pr\u00e9l\u00e8vements l\u00e9gaux \u00e9ventuels, seront \u00e9galement pris en compte.
\n<\/span>3. HEATSAIL ne pourra pas augmenter le Prix apr\u00e8s la conclusion de la Convention et avant la livraison, sauf si :
\n<\/span>A) l\u2019augmentation du Prix est la cons\u00e9quence de r\u00e9glementations l\u00e9gales ou de modifications de prix impos\u00e9es par le fabricant ; ou
\n<\/span>B) apr\u00e8s la conclusion de la Convention, l\u2019Acheteur souhaite apporter des modifications dans l\u2019ex\u00e9cution de la Convention ; ou
\n<\/span>C) il est question d\u2019une erreur manifeste.
\n<\/span>4. Les prix, tels que mentionn\u00e9s par HEATSAIL dans le devis, sont hors frais de livraison ou de transport \u00e9ventuels.
\n<\/span>ARTICLE 6 \u2013 LIVRAISON
\n<\/b>1. Les dates ou d\u00e9lais de livraison sont indiqu\u00e9s de bonne foi. HEATSAIL ne peut aucunement \u00eatre tenue responsable pour le non-respect du d\u00e9lai fix\u00e9, ce qui ne peut, par ailleurs, jamais donner lieu au paiement d\u2019une indemnisation ou d\u2019int\u00e9r\u00eats, ni au refus de r\u00e9ceptionner les Biens ou \u00e0 la r\u00e9siliation de la convention.
\n<\/span>2. La livraison se fait aux frais et risques de l\u2019Acheteur.
\n<\/span>ARTICLE 7 \u2013 CONFORMITE
\n<\/b>1. HEATSAIL veille \u00e0 ce que les Biens pr\u00e9sentent les caract\u00e9ristiques qui, compte tenu de l\u2019ensemble des circonstances, sont n\u00e9cessaires \u00e0 un usage normal (ad\u00e9quat et op\u00e9rationnel) ainsi qu\u2019\u00e0 un usage particulier pour autant que cela ait \u00e9t\u00e9 convenu et ce conform\u00e9ment aux prescriptions et au manuel d\u2019utilisation qui font partie int\u00e9grante de la Convention. HEATSAIL n\u2019est pas li\u00e9e par les d\u00e9clarations publiques relatives aux caract\u00e9ristiques particuli\u00e8res des Biens, si elle d\u00e9montre que ces d\u00e9clarations n\u2019\u00e9taient pas connues ou ne pouvaient raisonnablement pas \u00eatre connues, ces d\u00e9clarations ont \u00e9t\u00e9 rectifi\u00e9es avant la conclusion de la Convention ou la d\u00e9cision d\u2019achat des Biens ne pouvait pas \u00eatre influenc\u00e9e par ces d\u00e9clarations.
\n<\/span>2. L\u2019Acheteur est responsable de l\u2019exactitude des donn\u00e9es qu\u2019il fournit et doit contr\u00f4ler la mention de ces donn\u00e9es sur le bon de commande.
\n<\/span>3. L\u2019Acheteur doit notifier tout vice apparent par mise en demeure recommand\u00e9e \u00e0 HEATSAIL dans un d\u00e9lai de 8 jours \u00e0 compter de la livraison, \u00e0 d\u00e9faut de quoi la plainte sera irrecevable (cf. infra Article 9).
\n<\/span>4. Si le produit livr\u00e9 est grev\u00e9 d\u2019un vice cach\u00e9, l\u2019Acheteur doit le notifier par lettre recommand\u00e9e \u00e0 HEATSAIL dans un d\u00e9lai de 5 jours \u00e0 compter du moment auquel le vice cach\u00e9 a \u00e9t\u00e9 d\u00e9couvert ou aurait raisonnablement pu \u00eatre d\u00e9couvert, \u00e0 d\u00e9faut de quoi la plainte sera irrecevable (cf. infra Article 9).
\n<\/span>ARTICLE 8 \u2013 FORCE MAJEURE
\n<\/b>1. Une partie ne peut \u00eatre tenue responsable du non-respect de ses obligations, si elle d\u00e9montre que :
\n<\/span>– Le non-respect \u00e9tait d\u00fb \u00e0 un emp\u00eachement ind\u00e9pendant de sa volont\u00e9 ; et
\n<\/span>– Qu’il ne pouvait pas \u00eatre raisonnablement attendu d\u2019elle qu\u2019elle devait tenir\u00a0 compte de cet emp\u00eachement et des cons\u00e9quences correspondantes pour sa capacit\u00e9 de satisfaire \u00e0 ses obligations au moment de la conclusion de la convention ;
\n<\/span>– Qu’elle n\u2019\u00e9tait pas en mesure d\u2019\u00e9viter ou de rem\u00e9dier raisonnablement \u00e0 cet emp\u00eachement ou les cons\u00e9quences correspondantes.
\n<\/span>2. Une partie qui a pris connaissance d\u2019un tel emp\u00eachement le notifiera sans d\u00e9lai \u00e0 l\u2019autre partie. Elle informera \u00e9galement l\u2019autre partie si la cause d\u2019exon\u00e9ration cesse d\u2019exister. S\u2019il n\u2019a pas \u00e9t\u00e9 proc\u00e9d\u00e9 \u00e0 une telle notification, la partie d\u00e9faillante est responsable de l\u2019indemnisation des dommages qui auraient autrement pu \u00eatre \u00e9vit\u00e9s (cf. infra Article 13).
\n<\/span>3. Toute cause d\u2019exon\u00e9ration sous la pr\u00e9sente clause exon\u00e8re la partie d\u00e9faillante de sa responsabilit\u00e9 dans le cadre de l\u2019indemnisation, d\u2019amendes et d\u2019autres sanctions contractuelles, \u00e0 l\u2019exception de l\u2019obligation de payer des int\u00e9r\u00eats sur les montants dus aussi longtemps et pour autant que la cause d\u2019exon\u00e9ration subsiste.
\n<\/span>4. Si la cause d\u2019exon\u00e9ration de responsabilit\u00e9 subsiste pendant plus de 6 mois, chaque partie a le droit de r\u00e9silier la convention moyennant un pr\u00e9avis (cf. infra Article 13).
\n<\/span>ARTICLE 9 \u2013 GARANTIE
\n<\/b>1. HEATSAIL agit uniquement en tant que fabricant\/vendeur et non en tant qu\u2019installateur ou conseiller. Par cons\u00e9quent, l\u2019Acheteur ou tout autre client ne peut jamais invoquer la responsabilit\u00e9 d\u2019HEATSAIL pour une d\u00e9faillance quelconque r\u00e9sultant de l\u2019installation du produit ou du lieu d\u2019installation du produit, \u00e9tant donn\u00e9 qu\u2019HEATSAIL n\u2019intervient aucunement dans ce cadre. HEATSAIL fait r\u00e9f\u00e9rence aux prescriptions et au manuel d\u2019utilisation d\u00e9taill\u00e9s de ses produits qui font partie int\u00e9grante de la convention de vente et qui ont \u00e9t\u00e9 lu et approuv\u00e9s pour accord par l\u2019Acheteur. Pour le reste, HEATSAIL se fond sur l\u2019expertise de l\u2019Acheteur et sur la connaissance du produit par l\u2019installateur et\/ou le conseiller de l\u2019Acheteur, ce ind\u00e9pendamment des avis \u00e9ventuels d\u2019HEATSAIL ou de ses repr\u00e9sentants\/pr\u00e9pos\u00e9s, ou des questions pos\u00e9es \u00e0 HEATSAIL ou \u00e0 ses repr\u00e9sentants\/pr\u00e9pos\u00e9s. L\u2019Acheteur est toujours tenu de s\u2019informer sur et de respecter la r\u00e9glementation locale relative aux conditions d\u2019installation et d\u2019application des produits. En tout \u00e9tat de cause, HEATSAIL ne peut dans ce cadre \u00eatre tenue responsable, sa responsabilit\u00e9 ne pouvant aucunement \u00eatre engag\u00e9e.
\n<\/span>2. L\u2019Acheteur s\u2019engage express\u00e9ment \u00e0 communiquer le contenu de l\u2019Article 9.1 \u00e0 tout autre client et \u00e0 faire respecter ce contenu par tout autre client auquel la pr\u00e9sente obligation est transf\u00e9r\u00e9e. L\u2019Acheteur s\u2019engage ainsi \u00e0 donner suite \u00e0 toute demande en intervention volontaire et en garantie \u00e0 charge d\u2019HEATSAIL pour toute responsabilit\u00e9 d\u2019HEATSAIL suite \u00e0 une d\u00e9faillance \u00e9ventuelle dans le cadre de l\u2019installation du produit ou du non-respect des exigences l\u00e9gales locales relatives \u00e0 l\u2019installation, \u00e0 l\u2019utilisation et aux conditions d\u2019application.
\n<\/span>3. La garantie d\u00e9pend du type de produit et est mentionn\u00e9e dans le devis correspondant.
\n<\/span>4. HEATSAIL accorde \u00e0 l\u2019Acheteur une garantie de fabricant pour tout d\u00e9faut de conformit\u00e9 existant au moment de la livraison du Bien. Cela implique que pour tout d\u00e9faut ou toute d\u00e9faillance au Bien en usage normal jusqu\u2019\u00e0 1 an apr\u00e8s la livraison, le bien concern\u00e9 sera r\u00e9par\u00e9 ou remplac\u00e9 sans frais. Des d\u00e9faillances ou dommages r\u00e9sultant d\u2019un usage impropre, de d\u00e9g\u00e2ts d\u2019eau, d\u2019oxydation, de chutes, de chocs, d\u2019une n\u00e9gligence, d\u2019un mauvais entretien, d\u2019une utilisation contraire aux prescriptions du fabricant ou aux prescriptions pr\u00e9vues dans le manuel mis \u00e0 disposition par HEATSAIL, ou d\u2019usure, ne sont pas couverts par la garantie.
\n<\/span>5. La responsabilit\u00e9 d\u2019HEATSAIL vis-\u00e0-vis de l\u2019Acheteur est de ce fait express\u00e9ment limit\u00e9e \u00e0 son obligation de garantie. Toute action du chef de pertes d\u2019exploitation et\/ou d\u2019autres types de dommages indirects et\/ou dommages cons\u00e9cutifs est exclue (cf. supra Article 8.1).
\n<\/span>6. L\u2019Acheteur est tenu d\u2019informer HEATSAIL par lettre recommand\u00e9e de tout d\u00e9faut de conformit\u00e9 des Biens et ce au plus tard dans un d\u00e9lai de 14 jours, \u00e0 compter de la date \u00e0 laquelle l\u2019Acheteur a constat\u00e9 le d\u00e9faut de conformit\u00e9. \u00c0 l\u2019expiration de ce d\u00e9lai, HEATSAIL ne peut plus \u00eatre tenue responsable de ces d\u00e9fauts. Ledit d\u00e9lai est r\u00e9duit \u00e0 48 heures pour des vices apparents (cf. Articles 7.3 et 7.4).
\n<\/span>7. La garantie n\u2019est pas valable si les Biens ont \u00e9t\u00e9 modifi\u00e9s ou transform\u00e9s par des tiers sans l\u2019autorisation pr\u00e9alable et \u00e9crite d\u2019HEATSAIL.
\n<\/span>ARTICLE 10 \u2013 PAIEMENT
\n<\/b>1. Les factures et\/ou cr\u00e9ances d\u2019HEATSAIL sont payables \u00e0 son si\u00e8ge social sis \u00e0 2550 Kontich, Belgique, Prins Boudewijnlaan 7A08. Le paiement doit \u00eatre effectu\u00e9 ponctuellement conform\u00e9ment aux conditions de paiement de la convention et de la facturation correspondante.
\n<\/span>2. En cas de non-paiement \u00e0 l\u2019\u00e9ch\u00e9ance des factures ou acomptes, l\u2019Acheteur est de plein droit et sans mise en demeure redevable d\u2019int\u00e9r\u00eats de retard \u00e0 concurrence de 12% par an, \u00e0 compter de la date d\u2019\u00e9ch\u00e9ance, et HEATSAIL a \u00e9galement droit une indemnisation conventionnelle et forfaitaire \u00e0 concurrence de 10% sur les montants dus, avec un minimum de \u20ac 300,00.
\n<\/span>3. Dans ce cas, HEATSAIL a, par ailleurs, le droit de suspendre ses autres prestations contractuelles ou de faire dissoudre la convention \u00e0 charge de l\u2019Acheteur, qui ne pourra alors plus pr\u00e9tendre \u00e0 une indemnisation quelconque. Les paiements d\u00e9j\u00e0 effectu\u00e9s restent toujours acquis.
\n<\/span>4. S\u2019il est constat\u00e9 que l\u2019Acheteur est insolvable et\/ou que la situation financi\u00e8re du client dans le cadre du paiement comprend des risques, HEATSAIL peut [faire] dissoudre la convention \u00e0 charge du client ou suspendre l\u2019ex\u00e9cution de la convention, \u00e0 moins que la partie concern\u00e9e ne fournisse suffisamment de garanties en vue du respect de ses obligations.
\n<\/span>5. L\u2019Acheteur est tenu d\u2019informer HEATSAIL sans d\u00e9lai et au plus tard dans les 8 jours de toute inexactitude dans les donn\u00e9es transmises ou mentionn\u00e9es qui ont trait \u00e0 la Convention.
\n<\/span>ARTICLE 11 \u2013 RESERVE DE PROPRIETE ET TRANSFERT DE RISQUES
\n<\/b>1. HEATSAIL se r\u00e9serve la propri\u00e9t\u00e9 des Biens livr\u00e9s \u00e0 l\u2019Acheteur aussi longtemps que l\u2019Acheteur ne les a pas int\u00e9gralement pay\u00e9s, sans pr\u00e9judice des droits qui reviennent l\u00e9galement \u00e0 l\u2019Acheteur. L\u2019Acheteur devient uniquement propri\u00e9taire des Biens achet\u00e9s s\u2019il a int\u00e9gralement pay\u00e9 le prix d\u2019achat \u00e0 HEATSAIL. Avant le transfert de propri\u00e9t\u00e9, l\u2019Acheteur n\u2019a pas le droit de disposer des Biens, ni de les ali\u00e9ner, transformer, transf\u00e9rer et\/ou grever.
\n<\/span>2. Les parties conviennent que les Biens peuvent uniquement \u00eatre immobilis\u00e9s par destination ou incorporation apr\u00e8s paiement int\u00e9gral et correct par l\u2019Acheteur.
\n<\/span>3. Les risques dans le cadre de d\u00e9g\u00e2ts, destructions et pertes relatifs aux Biens sont transf\u00e9r\u00e9s \u00e0 l\u2019acheteur au moment de la livraison des Biens. Lorsque l\u2019acheteur refuse de r\u00e9ceptionner imm\u00e9diatement les Biens qui lui ont \u00e9t\u00e9 offerts correctement et en \u00e9tat intact, les frais correspondants seront \u00e0 charge de l\u2019Acheteur.
\n<\/span>ARTICLE 12 \u2013 MANQUEMENT CONTRACTUEL ET CLAUSE R\u00c9SOLUTOIRE EXPRESSE
\n<\/b>1. En cas de manquement contractuel ou de faillite de l\u2019Acheteur, ou si la Loi belge relative \u00e0 la Continuit\u00e9 des Entreprises (LCO) est applicable \u00e0 ce dernier, HEATSAIL aura toujours le droit de dissoudre la convention sans mise en demeure, ni intervention judiciaire pr\u00e9alables, ou de suspendre l\u2019ex\u00e9cution de ses obligations, ce sans paiement d\u2019une indemnisation quelconque.
\n<\/span>ARTICLE 13 \u2013 INDEMNISATION POUR CAUSE DE NON-RESPECT DE LA CONVENTION
\n<\/b>1. En cas de dissolution ou de rupture de la convention \u2013 en tout ou en partie – \u00e0 charge d\u2019une des parties, une indemnisation \u00e0 concurrence de 30% du prix convenu sera redevable automatiquement, de plein droit et sans sommation, ni mise en demeure.
\n<\/span>2. HEATSAIL se r\u00e9serve le droit de r\u00e9clamer une indemnisation sup\u00e9rieure \u00e0 d\u00e9terminer pour les dommages subis, si ceux-ci sont plus \u00e9tendus, conform\u00e9ment \u00e0 l\u2019art. 1149 du Code civil belge.
\n<\/span>ARTICLE 14 \u2013 PROPRIETE INTELLECTUELLE
\n<\/b>1. L\u2019Acheteur n\u2019acquiert dans le cadre de la convention jamais un droit de propri\u00e9t\u00e9 intellectuelle quelconque sur les biens qu\u2019il a achet\u00e9s.
\n<\/span>ARTICLE 15 \u2013 LITIGES
\n<\/b>1. Seuls les tribunaux d\u2019Anvers – Division Anvers (Belgique) sont comp\u00e9tents pour conna\u00eetre des litiges relatifs \u00e0 la Convention.
\n<\/span>2. Les Conditions g\u00e9n\u00e9rales et la Convention sont r\u00e9gies par le droit belge.<\/span><\/p>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

\n1. Only the courts of Antwerp \u2013 Antwerp division are competent to decide on disputes ensuing from the Agreement.
